AFFILIATE MARKETING AGREEMENT
Terms and Conditions
This Affiliate Marketing Agreement (the “Agreement”) is entered into, by and between:
GodWorks Church International, a non-profit organization, compliant with IRS code, 501 C3, here in
known as (“GodWorks”), and an individual.
WHEREAS, GodWorks operates an affiliate marketing program through which independent affiliates
may promote GodWorks Cornerstone and Covenant membership programs;
WHEREAS, Affiliate desires to participate in the Program as an independent contractor and
promote GodWorks membership offerings in exchange for commissions;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the
parties agree as follows:
- Definitions
“Program” means GodWorks affiliate marketing program.
“Qualifying Action” means the successful recruitment of a new member who enrolls in and pays for
a Cornerstone or Covenant membership through Affiliate’s unique tracking link.
“Commission” means the compensation payable to Affiliate pursuant to Section 6. - Appointment and License
GodWorks grants Affiliate a limited, non-exclusive, non-transferable, revocable license during the
term of this Agreement to use GodWorks-approved marketing materials, trademarks, logos, and
unique tracking links solely for the purpose of promoting the Cornerstone and Covenant
membership programs in accordance with this Agreement. All rights not expressly granted are
reserved by GodWorks. - Independent Contractor Status
Affiliate is an independent contractor and not an employee, agent, partner, or joint venturer of
GodWorks. Affiliate has no authority to bind GodWorks or make any representations on its behalf.
Affiliate shall not hold itself out as an employee or representative of GodWorks. - Permitted Activities and Compliance
Affiliate may promote the Program through lawful channels, including websites, email, and social
media, provided that all promotional content is truthful, not misleading, and complies with all
applicable federal, state, and local laws and regulations.
Affiliate shall comply with:
(a) All FTC guidelines and disclosure requirements regarding material connections;
(b) The CAN-SPAM Act and all applicable anti-spam laws;
(c) ICANN policies; and
(d) Any other laws governing advertising, marketing, data privacy, and consumer protection. - Required Disclosures
Affiliate must clearly and conspicuously disclose its material relationship with GodWorks in every
promotional communication. A substantially similar statement to the following must be used: “As a
GodWorks Affiliate, I earn commissions from qualifying membership enrollments.”
Failure to make required disclosures constitutes a material breach of this Agreement. - Commission Structure
(a) Commission Rate: 40% of the recurring Cornerstone or Covenant membership fees actually
received by GodWorks from members recruited by Affiliate.
(b) Commissions shall continue for as long as the recruited member remains an active, paying
member.
(c) Excluded Items: No commissions are payable on donations outside of membership fees or on
any GodWorks-designated excluded offerings.
(d) Payment Terms:
(i) Commissions are subject to a Net-30 hold period.
(ii) Payments are made on the first business day of each calendar month, provided the accrued
amount meets the minimum threshold of $100.00 USD.
(iii) Payments shall be made via direct deposit to the bank account designated by Affiliate.
(e) GodWorks may withhold, reverse, or claw back commissions for refunds, chargebacks, fraud, or
violations of this Agreement. - Prohibited Conduct
Affiliate shall not:
(a) Misrepresent GodWorks or its offerings;
(b) Engage in deceptive, misleading, fraudulent, or illegal marketing practices;
(c) Use spam, unauthorized advertising, or violate anti-spam laws;
(d) Manipulate tracking systems or commit tracking fraud;
(e) Use GodWorks trademarks, logos, or branding except as expressly authorized;
(f) Replicate or imitate GodWorks website or branding in a misleading manner;
(g) Promote violence, discrimination, sexually explicit material, or illegal activities in connection
with the Program;
(h) Resell GodWorks memberships without express written authorization;
(i) Circumvent GodWorks tracking or payment systems;
(j) Engage in any activity that could harm GodWorks reputation or brand. - Performance Standards
GodWorks may establish reasonable performance thresholds from time to time. Failure to meet
such standards may result in suspension or termination of Affiliate’s participation. - Term and Termination
This Agreement commences on the Effective Date and continues until terminated by either party.
Either party may terminate this Agreement at any time, with or without cause, by providing written
notice to the other party. Termination shall be effective seven (7) calendar days after notice is given,
unless GodWorks terminates immediately for cause. GodWorks may terminate immediately upon
written notice if Affiliate:
(a) Commits a material breach of this Agreement (including any violation of Sections 4, 5, or 7);
(b) Engages in fraudulent, deceptive, or illegal activity;
(c) Causes or risks harm to GodWorks brand or reputation; or
(d) Violates any applicable law or regulation.
Upon termination:
(a) All licenses granted hereunder immediately terminate;
(b) Affiliate must immediately cease all promotion of the Program and use of GodWorks materials;
(c) GodWorks may withhold commissions for a reasonable period to account for refunds,
chargebacks, or adjustments;
(d) Accrued but unpaid commissions meeting the minimum threshold shall be paid in accordance
with Section 6. - Intellectual Property
All trademarks, logos, content, and materials provided by GodWorks remain the exclusive property
of GodWorks. Any goodwill arising from Affiliate’s use of GodWorks intellectual property inures
solely to the benefit of GodWorks. - Non-Circumvention and Non-Solicitation
Affiliate shall not bypass or divert any potential members or commissions away from GodWorks
systems.
During the term of this Agreement and for twelve (12) months thereafter, Affiliate shall not:
(a) Solicit, recruit, or hire any employees, contractors, or representatives of GodWorks;
(b) Solicit GodWorks’ existing members or customers for competing products or services; or
(c) Interfere with GodWorks business relationships. - Warranties and Representations
Affiliate represents and warrants that:
(a) Affiliate is at least 18 years of age and has full legal capacity to enter into this Agreement;
(b) All information provided to GodWorks is accurate and complete;
(c) Participation in the Program and all promotional activities will not violate any applicable law;
(d) Affiliate is not subject to U.S. sanctions or export restrictions that would prohibit participation.
GodWorks makes no representations or warranties regarding the amount of traffic, conversions, or
commission income Affiliate may earn. The Program is provided “as is.” - Disclaimers and Limitation of Liability
THE PROGRAM AND ALL MATERIALS PROVIDED BY GODWORKS ARE PROVIDED “AS IS” AND “AS
AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. IN NO EVENT
SHALL GODWORKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR
PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE OR GOODWILL, EVEN IF ADVISED OF THE
POSSIBILITY THEREOF. GODWORKS’ AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL
COMMISSIONS PAID TO AFFILIATE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
ANY DISPLAYED EARNINGS ON GODWORKS.ONE ARE NOT REPRESENTATIVE FOR THE AVERAGE PARTICIPANTS.
THE AVERAGE PARTICIPANT WILL EARN SIGNIFICANTLY LESS OR NO MONEY AT ALL THROUGH THIS PRODUCT OR SERVICE.

- Indemnification
Affiliate agrees to defend, indemnify, and hold harmless GodWorks, its affiliates, officers, directors,
employees, and agents from and against any and all claims, damages, liabilities, costs, and
expenses (including reasonable attorneys’ fees) arising out of or relating to:
(a) Affiliate’s promotional activities or websites;
(b) Any breach of this Agreement by Affiliate;
(c) Any violation of applicable law by Affiliate; or
(d) Any negligence or willful misconduct by Affiliate or its agents. - Additional Provisions – Monitoring, Communications, and Data Use
GodWorks may send communications relating to the Program from time to time, including but not
limited to email, push notifications, and SMS. In addition, GodWorks may (a) monitor, record, use,
and disclose information about Affiliate’s Site and users of Affiliate’s Site that GodWorks obtains in
connection with the display of tracking links and Program Content (for example, that a particular
customer clicked through a link from Affiliate’s Site before enrolling in a membership), (b) review,
monitor, crawl, and otherwise investigate Affiliate’s Site to verify compliance with this Agreement,
and (c) use, reproduce, distribute, and display Affiliate’s logo and implementation of Program
Content displayed on Affiliate’s Site as examples of best practices in GodWorks educational
materials.

This Agreement shall be governed by and construed in accordance with the laws of the State of
Wyoming, without regard to conflict of laws principles. Any disputes arising under this Agreement
shall be resolved exclusively in the state or federal courts located in Washakie County, Wyoming. - Taxes
Affiliate is solely responsible for all taxes, including personal income taxes, arising from
commissions received. GodWorks shall not withhold taxes unless required by law. - Expenses
Affiliate shall bear all expenses incurred in connection with its promotional activities and
performance under this Agreement. - Modification
GodWorks may modify any terms of this Agreement at any time by posting the revised Agreement
on its website or by notifying Affiliate by email. Continued participation after the effective date of
any modification constitutes acceptance of the new terms. - Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior
agreements, understandings, and representations, whether oral or written. - Miscellaneous
(a) Non-Exclusivity: Affiliate may promote competing products or services.
(b) Assignment: Affiliate may not assign this Agreement without GodWorks prior written consent.
(c) Severability: If any provision is held invalid or unenforceable, the remainder of the Agreement
shall continue in full force and effect.
(d) Waiver: No waiver of any breach shall constitute a waiver of any other breach.
(e) Notices: All notices shall be in writing and delivered to the email or physical address provided by
each party.
